Constitution change 2018

This describes changes to the CHP constitution in 2018. Readership is Public.


Overview

Proposed changes to the constitution are to support changes to the organisation as discussed in the meeting on 2018-09-20.

The changes clarify the nature of the "management committee", establish a fixed chair role and alter the required meeting schedule.

The changes are aimed at supporting the following goals and ways of working:

  1. Active officers can manage the organisation efficiently with minimum overhead. Most of their duties are connected with administration of funds, management of the web site, communication and documentation.
  2. Member organisations are informed of management activity and can participate in important decisions.

Managers will usually communicate electronically and meet when circumstances require it. Actual meetings will be Minuted as usual. Other decisions and actions will be communicated with the membership by mail and summarised in an annual report.

Member organisations may request meetings if the need arises.

An AGM Is held as usual to make formal report to members, elect officers and nominate specific management committee members if required.

5. Governance

Clause a

  1. Changed the minimum management committee number from 5 to 2. Practical governance of the organisation is by its officers. This number permits the organisation to continue to function when an officer is incapacitated.
  2. Added the phrase Administration is normally conducted electronically.
  3. Changed the wording of the sentence about member representatives to make it clear that it applies to formal meetings of the organisation.

5.1 Officers

Changed the initial wording. It originally said that officers are nominated by the committee. In practise they are nominated by the membership (usually at an AGM). Also, all officer roles are now assigned to specific persons so the wording of the whole section has been changed to reflect that.

Changed the wording to make the Chair a more continuous role so that it can function as public liason.

5.3 Meetings

In practise, formal meetings are advertised to all organisation member representatives. Those who attend these meetings take on the role of participating in management decisions. Thus, the word "Committee" in this section is removed in some places.

  1. Added the word "Formal" at the start to indicate the clause only applies to physical meetings.
  2. Removed the word "acting" in reference to the Chair.
  3. Removed the sentence constraining the organisation to have a specific number of meetings in a year.
Clause c
Add the word "formal" to indicate the class of meeting that is being described.
Clause d
Replace the word "committee" with "member representatives". Add the word "formal".
Clause e
Remove the word "committee" and add the word "formal".
Clause h
Replace the word "committee" with "formal".

8. Dissolution

Clause b

Dissolve the organisation if it fails to organise an AGM in the prescribed time.

9. Adoption

Added extra narrative assuming adoption at the 2018 AGM.
